Tom is an experienced transactional lawyer with over 20 years post-qualification experience, gained in both London and the GCC.

Tom has extensive experience leading and managing international and cross-border projects and transactions across the full spectrum of corporate and commercial law, including M&A, private equity and venture capital, joint ventures, corporate governance, structuring and reorganisations, and complex commercial arrangements (including procurement, agency and franchise agreements).
Tom’s corporate work has been recognised by Legal 500 and Chambers Global.

Advising MEEG Holdings Limited, the majority shareholder in Midchains Limited, the owner and operator of a crypto and digital asset exchange, in relation to various rounds of investment from Mubadala Investment Company, the Abu Dhabi Investment Office (ADIO), Miami International Holdings Inc. (the owner and operator of three SEC approved exchanges) and others.

Advising Green Dome Investments, a consortium of prominent UAE families and investors, on its acquisition of the Elite Group, the leading regional supplier of international and domestic fully integrated overland freight and courier solutions.

Advising EMAAR Industries and Investments in relation to the corporate acquisition of two labour camps in the Dubai Investments Park.

Advising the Choithrams Group on various projects, including the significant restructuring of its Middle Eastern corporate assets.

Advising Khansaheb Investments in relation to a multitude of projects, including its acquisition of the entire issued share capital of a UK company; the acquisition of the worldwide intellectual property rights of Spiralite, a company (in liquidation) manufacturing ducting; the sale of shares in a joint venture entity developing a new hospital in Dubai to Dubai Investments Company; and its investment in Dynamic Advanced Training, a new joint venture entity developing and operating various aviation training facilities and assets.

Advising WAFI Group in relation to various corporate transactions, including the acquisition of Raycom Engineering and its investment in and joint ventures with Crewshield and Craig Bragdy Design.

Advising the shareholders of Vogacloset Limited, a UK based e-commerce retail platform with operations throughout the GCC, on the sale of a 51% stake to Alhokair and subsequent group re-organisation.

Advising EcoCoast, a UAE based marine eco tech innovation firm, on the acquisition of Bolina Booms, a UK based manufacturer of environmentally conscious marine booms.

Advising AfricaInvest, a North African investment firm, on its investment in WIMT Holdings, a mobility data solutions company with a focus on emerging markets.

Advising Kabnoury Ventures, a regional investment firm, on the establishment of a co-investment structure with assets in the GCC and Egypt.

Advising Sustainable Mining and Infrastructure Group on its acquisition of a majority interest in Guinean telecommunications infrastructure network.

Advising Iugis Holdings Limited in relation to the acquisition of a majority shareholding in the Neon Green Buildings Construction group of companies (trading as Envirofina), the global energy efficiency investment company with fully integrated ESCO services headquartered in the UAE and with subsidiaries in Greece, Egypt and India.

Advising EQ2 Ventures, a regional evergreen investment company, on the establishment of its co-investment structure and the acquisition of various assets from Equitrust (the corporate VC arm established by the Choueiri Group).

Advising Partners for Growth on the USD 50 million venture debt receivables financing for tabby, the first and largest “buy now, pay later” provider in MENA (believed to be the largest venture debt financing in the region at the time).

Advising KRSH Investments, the leading regional F&B investment platform, in relation to its significant corporate restructuring, joint ventures and capital raising.

Advising Mumtalakat, the sovereign wealth fund of the Kingdom of Bahrain in relation to the sale of a minority equity interest in Reef (Lulu) Island, a significant mixed use, holistic reclaimed development project in Bahrain and its refinancing of a USD 250 million loan from a consortium of banks, including the National Bank of Bahrain.

Advising Edamah, the owner/ manager of all Government owned land in the Kingdom of Bahrain, on its joint ventures with the Oil and Gas Holding Company (NOGA Holding) in relation to the development of a USD 250 million, 50-storey office complex and hotel resort in Bahrain Bay and with Bahrain Airport Company in relation to the development of a multi-storey car parking facility at Bahrain International Airport.
