Michèle has mainly worked on cross-border transactions involving the negotiation and the drafting of bilateral and syndicated loans with their related security interests, the securitisation of car, invoice and contract receivables and the development of a range of asset backed structured products. She further advised on a series of Shari’a compliant structures and drafted the related Shari’a compliant agreements.

Negotiating and drafting a bilateral loan agreement based on the LMA model with its related collaterals including a corporate guarantee, an assignment of receivables and a sell-buy back agreement pertaining to a real estate property located in the UAE.

Advising and negotiating a structure to be developed to ensure the refinancing of a loan granted by a syndicate of 3 Malaysian banks and a UAE bank to a borrower (a UAE company). The new lender requested that some of the Borrower’s assets be transferred to a fund to be incorporated in the DIFC, and thus, segregated from the Borrower’s remaining assets.

Advising on, and drafting the agreements and documentation pertaining to the conversion of a conventional secured loan dedicated to the acquisition of real estate properties into an ijara muntahia bit tamalluk.
